By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

Acceptance of Terms
By accessing or using our website and services, you confirm that:
- You are at least 18 years of age or have the legal capacity to enter into a binding agreement
- You have the authority to accept these Terms on behalf of yourself or the entity you represent
- You agree to comply with all applicable local, state, national, and international laws and regulations
Your continued use of the website after any modifications to these Terms constitutes acceptance of the revised Terms.

Our Services
IndieCode provides the following services:
- Custom Software Development: Bespoke SaaS products, web applications, and digital platforms built to your specifications
- Ready-to-Deploy Products: Pre-built software products available for purchase, branding, and deployment
- Software Maintenance & Support: Ongoing maintenance, updates, and technical support for deployed products
- Consultation Services: Free initial project consultation and technical advisory services
The scope, timeline, and deliverables for each project will be defined in a separate project agreement or statement of work ("SOW") mutually agreed upon by both parties.

Client Portal
When you create an account on our client portal, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials and not share them with unauthorized parties
- Promptly notify us of any unauthorized access to or use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

Intellectual Property
Our Website Content
All content on the IndieCode website — including text, graphics, logos, images, icons, code, and design elements — is the property of IndieCode and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our website content without our written permission.
Custom Development Projects
For custom software development projects:
- Upon full and final payment of all invoices, the client receives ownership of the custom-developed code and deliverables as specified in the project agreement
- IndieCode retains the right to use general methodologies, tools, frameworks, and techniques developed or refined during the course of the project
- Pre-existing code, libraries, and components owned by IndieCode or third parties remain the property of their respective owners
Ready-to-Deploy Products
For ready-to-deploy products:
- Clients receive a license to use and deploy the product as specified in the product license agreement
- The underlying source code, architecture, and design remain the intellectual property of IndieCode unless otherwise specified
- Clients may not resell, sublicense, or redistribute the product without written authorization

Project & Payment Terms
Project Agreements
Each custom development project will be governed by a separate project agreement or SOW that outlines:
- Project scope, features, and deliverables
- Timeline and milestones
- Pricing, payment schedule, and terms
- Revision and change request procedures
Payment Terms
- No upfront payment is required before the initial consultation
- A deposit fee is required to secure a development slot, as specified in your project agreement
- Payment milestones are tied to project deliverables as outlined in the SOW
- All invoices are due within 7 business days of issuance, unless otherwise agreed
- Late payments may result in project delays or suspension of services
Refund Policy
Deposit fees are non-refundable once the project development has commenced. Refunds for milestone payments may be considered on a case-by-case basis for undelivered milestones.

Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of a project engagement. This includes but is not limited to:
- Business plans, strategies, and financial information
- Technical specifications, source code, and system architecture
- User data and analytics
- Project pricing and terms
Confidentiality obligations survive the termination of the business relationship for a period of 2 years.

Warranties & Disclaimers
Disclaimer: Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we strive to deliver high-quality software products:
- We do not guarantee that our website will be uninterrupted, error-free, or free of viruses
- We provide a 30-day bug-fix warranty after project delivery for any defects in the delivered software that deviate from the approved specifications
- Issues arising from third-party services, client-side infrastructure, or modifications made outside of IndieCode's scope are not covered under warranty

Limitation of Liability
To the maximum extent permitted by applicable law:
- IndieCode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Our total liability for any claims arising from or related to a project shall not exceed the total fees paid by the client for that specific project
- We are not responsible for damages arising from events beyond our reasonable control (force majeure)

Indemnification
You agree to indemnify, defend, and hold harmless IndieCode, its officers, directors, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your use of our website or services
- Any content you provide to us for use in a project
- Your violation of any applicable laws or third-party rights

Termination
We reserve the right to:
- Suspend or terminate your access to the website and client portal at our discretion, with or without notice, for conduct that violates these Terms
- Terminate ongoing project engagements with written notice in cases of material breach by either party, subject to the terms of the project agreement
Upon termination of a project:
- All payments due for work completed up to the date of termination remain payable
- Deliverables completed up to the termination date will be transferred upon settlement of outstanding payments
- Confidentiality obligations continue to apply

Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Modifications
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. We encourage you to review these Terms periodically. Your continued use of our website and services constitutes acceptance of the modified Terms.
